1. Introduction

2.6. Dimex has the right , according to its absolute discretion and without prior notice or giving reasons, to suspend or cancel your account, and/or amend the account data, with Demex obligated to refund the value of any of the products or services that you have purchased on the site as long as you do not violate these general terms and conditions .
2.7. You can cancel your account on the Dimex store by contacting us as indicated in Section No. 23 .

3. Terms and Conditions of Sale

3.1. You acknowledge and agree to the following :

3.1.1. that Dimex Store is a website for sellers to sell their products and for buyers to buy these products;
3.1.2. Although DEMEX accepts binding sales on behalf of the seller, DEMEX is in no way a party to the transaction between the seller and the buyer;
3.1.3. A sale and purchase contract for the product or products is concluded between the seller and the buyer. Therefore, you are obligated to buy or sell the product or products when the buyer confirms the purchase through the Demix website .

3.2. The sale and purchase contract between the buyer and the seller is subject to the seller’s business terms in accordance with these general terms and conditions. Despite this, the following texts are added to the sale and purchase contract between the buyer and the seller :

3.2.1. selling at the same price as the product in the product listing;
3.2.2. The price of the product includes all types of taxes, taking into account all the laws in force in the Arab Republic of Egypt from time to time;

4. Return and refund of products

4.1. Product returns by Buyers and acceptance of returned products by Seller are managed by Demex in accordance with the Returns page on the Demex website , as may be amended from time to time . Acceptance of returned product is at Demex 's sole discretion , and is subject to the laws in force in the Arab Republic of Egypt .
4.2. Refunds for returned products are managed in accordance with the refund page on the Demex website , as may be amended from time to time and Demex rules regarding refunds apply at Demex's discretion , taking into account applicable laws in the region. Demex may offer refunds for returned products at its discretion, subject to the following :

4.2.1. product price;
4.2.2. Domestic and/or international shipping fees (as indicated on the redemption page);
4.2.3. The value of the product will be refunded by depositing a balance in the account on the Demix website , in the electronic wallet, or by means of purchase vouchers, or a transfer over the phone, or a bank transfer, or any other method that we may specify from time to time .

4.3. Returned products are accepted and the value of the returned products is refunded by Demex on behalf of the seller .
4.4. Amendments made to the returns page or refunds page apply to all purchases starting from the date the amendment was published on the Dimex website .

5. Payments

5.1. Payment of amounts due under these General Terms and Conditions shall be made in accordance with the Payments Information and Guidelines on the Dimex Store .

6. Store credit

6.1. Store credits may be earned and administered in accordance with the Dimex Store Credit Terms and Conditions , which may be amended from time to time. Dimex reserves the right to cancel or withdraw Dimex Store Credit Rewards for any reason at its discretion, including if we suspect fraud or manipulation. 8. Your Content Rules

8.1. In these General Terms and Conditions, "Your Content" means :

8.1.1. All works and materials (including but not limited to written text, graphics, photos, audio content, video, audio-visual materials, manuscripts, programs and files) that the seller sends to DIMEX for later storage, publication, processing or transmission;

8.9. You acknowledge that all users of the Dimex Store are solely responsible for interacting with other users and you must exercise caution when communicating with users and not to send personal information including credit card details to users .
8.10. DIMEX has the right to review your content periodically and has the right to remove any content at its discretion for any reason .
8.11. You report Dimx immediately in the event that you discover any illegal content or activity on Dimx site or any content or activity that violates these general terms and conditions, by contacting Dimx in accordance with Section 23 of the general terms and conditions .

9. Our rights to use your content

9.1. You grant DIMEX a non-exclusive, irrevocable, royalty-free, worldwide license to use, reformat, copy, publish, translate and distribute Your Content through DIMEX's marketing channels and any current or future media .
9.2. You grant DIMEX the right to sublicense the rights licensed under Section 9.1 to third parties .
9.3. You grant DIMEX the right to bring an action for infringement of the rights licensed under Section 9.1 .

11.1.1. DIMEX, together with its licensors, owns all copyright and other intellectual property rights in and to the DIMEX Website and all content on the Website; And
11.1.2. All copyright and other intellectual property rights of the Dimex website and the contents on the site are reserved .

11.2. All Dimex logos and other registered and unregistered trademarks are trademarks owned by Dimex alone; Dimx does not allow the use of these trademarks, and their use is an infringement of Dimx's rights .
11.3. The trademarks of other parties , whether registered or not, are the property of their owners and do not guarantee Dimex and Dimex has no connection with the parties that own the trademarks, therefore Dimex may not grant any licenses for these marks .

12.1. The sellers agree to the processing of their personal data in accordance with the provisions of Dimex's Privacy and Cookie Notice .
12.2. Dimx processes all personal data obtained through Dimx store and related services in accordance with the provisions of the Privacy Notice and Cookie Notice and the Privacy Policy .
12.3. Sellers are directly responsible to buyers in case of misuse of buyers' personal data and Dimex will not bear any responsibility towards buyers in case of misuse of buyers' personal data .

13. Due diligence and review rights

13.1. Dimex do operates an anti-money laundering program and reserves the right to conduct due diligence checks on all users of Dimex Store .
13.2. You are committed to providing all information and documents related to your commercial activity, in addition to the possibility of entering your commercial premises upon our request and for the following reasons :

13.2.1. In order to verify your compliance with the terms and conditions of this Contract and to carry out your obligations under it;
13.2.2. for the purpose of making statements pursuant to an order of a court or other government agency; or
13.2.3. As required by applicable law or regulations .

14. The role of Dimex as an online store

14.1. You acknowledge the following :

14.1.1. Dimex is not able to verify the identity of all users of the store, and Dimex does not verify their financial / credit capabilities, intentions or check them;

DIMEX'S TOTAL LIABILITY TO YOU IN CONNECTION WITH ANY CONTRACT OF PROVISION OF SERVICES TO YOU UNDER THESE GENERAL TERMS AND CONDITIONS SHALL NOT EXCEED THE TOTAL AMOUNT PAID OR DUE TO PAYMENT TO DIMEX UNDER THAT CONTRACT AND EVERY SEPARATE TRANSACTION ON DIMEX STORE IS A SEPARATE CONTRACT IN APPLICATION OF THIS SECTION 15.4 .
15.5 . Without prejudice to Section 15.4, DEX shall not be liable to you for any loss or damage of any kind, including in connection with the following :

15.5.3. any business losses, including, without limitation, loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, business opportunities or goodwill;

15.5.5. any special, indirect or consequential loss or damage .

15.6. Since it is in the interest of Demex to limit the personal liability of its officials and employees, and taking into account this interest, you acknowledge that Demex is a limited liability entity; You agree and undertake that you will refrain from bringing any personal claim against Dimex officials or employees in relation to any losses incurred by you in connection with Dimex store or these general terms and conditions (and this will not limit or exclude the liability of the limited liability entity for the acts and omissions of Dimex officials and employees ) .

24.2. The exercise of the rights of the parties arising from a contract entered into under these General Terms and Conditions is not subject to the approval of any third party .

25. Law and jurisdiction

25.1. These general terms and conditions shall be governed and interpreted in accordance with the laws of the Arab Republic of Egypt .
25.2. Any disputes relating to these general terms and conditions shall be subject to the jurisdiction of the courts of Cairo .

26. Demex data and notifications

26.1. You can contact us using the contact details listed .
26.2. You may contact our sellers for after-sales inquiries, including any disputes, by requesting their contact details from Demex in accordance with Demex's Dispute Resolution Policy , under which Demex is obligated to ensure that the seller is clearly identifiable .

26.3. You agree to receive notices electronically from Dimex and we may provide all communications and information relating to your use of the Store in electronic form, either by posting on our Website or App, or via email to the email address provided in your account and all such communications will be deemed notifications written and properly received and delivered by you .
